Non-Exclusive License Agreement

1. Grant of Rights

The Producer grants the Licensee a non-exclusive, non-transferable license to use the Producer’s beat(s) in musical recordings.

2. Usage Rights

The Licensee may use the licensed beat(s) for commercial and non-commercial purposes, including but not limited to:

• Streaming
• Selling (digital or physical)
• Live performances

3. License Duration

This license is perpetual and does not expire, unless terminated due to a violation of this agreement.

4. Credit Requirement

The Licensee must credit the Producer in all forms of distribution and promotion, including:

• Song descriptions
• Metadata
• Social media posts
• Video credits

5. Publishing, Songwriting & PRO Registration

Non-Exclusive License

This is a non-exclusive license. The Producer retains 100% ownership of the underlying instrumental composition (the “Beat”), including all publishing rights related to the instrumental.

If the Licensee creates a new song using the Beat, the Licensee shall own 100% of their original lyrics and vocal melody contribution.

For purposes of Performing Rights Organization (PRO) registration:

• The Producer shall control and register 100% of the writer and publisher share attributable to the instrumental composition.
• The Licensee may register their writer share attributable solely to their original lyrics and vocal melody.
• The Licensee may not claim ownership, publishing, or writer credit for any portion of the instrumental composition.

Publishing splits for the combined work (Beat + Lyrics) shall reflect each party’s respective contribution unless otherwise agreed in writing under a separate Exclusive License Agreement.

Royalty Structure

Under this Non-Exclusive License:

• The Producer retains 100% ownership of the instrumental composition.
• The Licensee retains 100% ownership of their original lyrics and vocal contribution.
• Performance royalties shall be collected by each party according to their respective registered writer and publisher shares.
• Mechanical royalties generated from distribution of the combined work shall be paid through the Licensee’s selected distributor, subject to standard platform terms.

No ownership transfer occurs under this agreement.

Exclusive License terms, including alternative royalty splits (e.g., 50/50, 80/20), must be defined in a separate written Exclusive License Agreement.

7. Modifications

• Minor modifications to the beat are permitted for creative purposes.
• The Licensee may not create standalone instrumental works or resell, redistribute, or license modified versions of the beat.

Platform Usage

The Licensee may distribute and monetize the new song incorporating the Beat on all major digital streaming platforms and social media platforms, including but not limited to:

• YouTube
• Spotify
• Apple Music
• Amazon Music
• TikTok
• Instagram

The Licensee may not distribute the Beat as a standalone instrumental, upload the instrumental to beat stores, or claim ownership of the underlying composition.

9. License Coverage

• Each purchased beat automatically includes this license.
• This license applies to all non-exclusive beats purchased from the Producer’s catalog.
• The license does not need to be repurchased unless the terms are updated.

10. Dispute Resolution

Any disputes arising from this agreement shall first be resolved through mediation or arbitration before legal action is pursued.

Refund PolicyEligibility

Refund requests must be made within five (5) days of the original purchase date.

Refunds will not be granted if the beat has been:

• Downloaded or saved
• Posted online
• Used for profit
• Used in any production or project

Exchange Option

Instead of a refund, the Licensee may exchange the beat for another beat of equal or lesser value from the catalog, provided the original beat has not been downloaded, posted, or used.

Requests are processed within 7 business days.

Important Notices

• This is the only license currently available.
• All beats purchased from the catalog are governed by this license.
• Beats are delivered in high-quality WAV format.
• Purchased beats do not need to be bought again.

Restrictions

The Licensee may not:

• Resell, sublicense, or re-license the beat
• Claim exclusive ownership
• Upload the beat as an instrumental to beat stores, music libraries, or distribution platforms
• Use the beat without proper producer credit

Termination

This license will be terminated if the Licensee violates any terms. Upon termination:

• All rights revert to the Producer
• The Licensee must cease all use of the beat
• No refunds will be issued

Ownership & Rights

• The Producer retains 100% ownership and copyright of the original beat.
• This agreement grants a license to use, not a sale or transfer of ownership.

Limitation of Liability

The Producer shall not be held liable for any damages or losses incurred by the Licensee through use of the beat, including but not limited to business losses, reputation damage, or third-party legal disputes.

Delivery

Purchased beats will be delivered within 24 hours of purchase.

Acceptance

By purchasing any beat or music from the Producer, the Licensee agrees to all terms outlined in this agreement. No physical signature is required. Purchase constitutes legal acceptance.
